Terms of Service
Governs access to and use of all AxiForge digital platforms — Autonomous Factory OS, Sensor Dashboard, and WorkOS. To be finalised before the first commercial deployment.
These Terms are currently in preparation. The framework below reflects the draft structure that will be reviewed by legal counsel and finalised prior to the first commercial client deployment.
What is it?
Terms of Service define the legal framework governing client access to AxiForge platforms. They establish what clients may and may not do with the software, the service level commitments AxiForge makes, liability limits, data ownership rules, and the conditions under which either party may terminate the agreement.
Why it matters
- Protects AxiForge IP from misuse or reverse engineering
- Caps legal liability at a defined and insurable level
- Confirms client data ownership — builds trust
- Required for enterprise sales and procurement processes
- Establishes enforceable SLA commitments
- Demonstrates operational readiness to investors
These Terms govern access to and use of the following AxiForge digital platforms:
- Autonomous Factory OS — monitoring and management platform for autonomous production lines
- Sensor Dashboard — telemetry and predictive analytics interface for Sensor SA-1 edge nodes
- WorkOS Platform — industrial software modules including TenderForge, TechDocForge, QualityForge, and others
- All future digital platforms and services offered by the AxiForge group
These Terms take effect on the date a deployment agreement is signed or an account is activated, and remain in force for the duration of the client engagement.
AxiForge grants the client a limited, non-exclusive, non-transferable licence to use the Platform solely for the client's own internal operational purposes.
The client is not permitted to:
- Copy, modify, or create derivative works of the Platform
- Reverse engineer, decompile, or disassemble the software
- Resell, sublicense, or make the Platform available to third parties
- Use the Platform for any purpose outside the scope of the deployment agreement
All rights to the Platform and associated IP remain the exclusive property of AxiForge Holdings Ltd.
Response Times by Priority
SLA exclusions: downtime caused by force majeure, client infrastructure failure, DDoS attacks, or third-party provider outages is not counted towards unavailability.
Client Production Data
- Telemetry and production data generated by client systems remain the exclusive property of the client
- AxiForge does not sell or transfer client production data to third parties
- AxiForge may use anonymised, aggregated data solely to improve predictive algorithms
Data Retention
A 12-month fee cap is the market standard for B2B SaaS agreements. It provides clients with a meaningful remedy while allowing AxiForge to maintain insurable liability exposure — a requirement for the company's professional indemnity coverage.
By the Client
- 30 days written notice at any time
- Fees for the current billing period are non-refundable
By AxiForge
- Immediately upon material breach — following a 14-day cure notice period
- Upon payment default exceeding 30 days
Effects of Termination
- Platform access disabled on the termination date
- Client data available for export for 30 days following termination
Investor Perspective
Terms of Service define the legal liability framework between AxiForge and its clients. A liability cap at 12 months of fees and full retention of IP by AxiForge are market standards for B2B industrial SaaS. These Terms are in preparation and will be finalised before the first commercial deployment — demonstrating that the company is building investor-grade contractual infrastructure alongside its technology.
