What is it?

Due diligence is the formal verification process by which an investor — or their legal and financial advisers — independently confirms the material facts presented in a company's investment documentation. It is not an expression of mistrust. It is the standard process by which any serious capital allocation decision is made. A well-organised data room accelerates due diligence and removes friction at the point where the deal is most likely to stall.

Due diligence is the structured process of independent verification that precedes a binding investment decision. An investor — or their solicitor, accountant, or technical adviser — reviews the company's legal documents, financial records, IP filings, and technical assets to confirm that the material facts in the investment documentation are accurate and complete.

For a seed-stage company, due diligence typically covers five categories: corporate structure, ownership and governance, legal and IP, financial position, and technical credibility. The depth of review scales with the size of the investment and the sophistication of the investor. An experienced angel investing £25,000 will conduct lighter-touch verification than a SEIS fund investing £150,000 on behalf of its LPs.

Receive and sign the NDA

You will receive a mutual Non-Disclosure Agreement within 24 hours. The NDA is standard, bilateral, and governed by English law. It protects both parties. Execution is by electronic signature.

Within 48 hours of NDA execution, you will receive access credentials for the AxiForge data room. All five categories of documents will be available immediately.

Founder Q&A available

Following your data room review, a 60-minute due diligence call with the founder can be scheduled. This is for substantive questions arising from the documentation — not a first introduction.

Expected timeline

From access request to signed NDA and data room entry: typically 48–72 hours. No delays introduced by the company — execution is entirely within the investor's control.

The following are the primary areas of focus for seed-stage investors conducting due diligence on a deep-tech company at the pre-revenue stage:

IP Ownership

  • Is the patent application filed and is the company the applicant of record?
  • Are IP assignment agreements signed by the founder and all contractors?
  • Are there any third-party IP claims or prior art risks?
  • Is all open-source software used under commercially compatible licences?

Corporate Cleanliness

  • Is the company in good standing at Companies House?
  • Are all board resolutions properly executed and on file?
  • Are there any undisclosed liabilities, charges, or legal claims?
  • Are all subsidiaries properly incorporated and controlled by Holdings?

Founder Background

  • Does the founder have the engineering and domain expertise claimed?
  • Are there any prior company failures, insolvencies, or legal proceedings?
  • Is the founder's IP assignment to the company unambiguous and complete?

Financial Position

  • Do bank statements confirm the capital deployment described in the IM?
  • Is the company free of debt and undisclosed financial obligations?
  • Are the financial model assumptions internally consistent and defensible?

Technical Credibility

  • Is the demonstrator genuinely operational — not a staged environment?
  • Does the Sensor SA-1 perform the edge AI functions described?
  • Is the Autonomous Factory OS a working product or a prototype?
  • Does the operational data from Deskraft.pl support the claimed performance?
